Board Meeting Minutes - July 21, 2016

Present:

Call to Order:

Vice-President, Brad Glover called the meeting to order at approximately 12:00 PM in the Bard Room at Morrisson-Reeves Library.

Approval of Minutes

David Burton motioned approval of the minutes dated March 17th and May 19th, 2016, seconded by Rob Tidrow and the motion passed unanimously.

Old Business:

The group continued the discussion on updating the benefits to a Platinum Membership. Presently, we have three businesses at the Platinum Membership level. By updating the membership to 10 free image uses per year, we are potentially giving up $250 per member in hopes of a membership at $2500.

Rob asked if WayNet.org's logo gets placed on pictures. Jane stated that if people pay for the picture, we do not ask for credit. However, if a picture is donated, then Jane will place a logo on it. Another question asked was how long people are able to use the pictures from WayNet.org. The answer is forever; the only restriction is that people are not able to sell the picture.

The last question asked was if the pictures are WayNet.org's or Jane's. Jane said it is a gray area and needs further discussion.

Rob Tidrow motioned to update the Platinum Membership to 10 free images per year. Beth Fields seconded and the motion passed unanimously.

New Business:

Balance Sheet

Jane reviewed the balance sheet. There was a discussion about whether or not the employment ads are labor intensive. Jane explained that they are because the businesses are only able to pay with a check and cannot pay with a credit card. The setup is also time consuming, but is better now.

Brad asked if there was a way businesses could use a credit card (i.e. Square). Jane then explained that we are an account through Morrisson-Reeves Library, so we may not be able to use a credit card processing company. However, an idea was brought forth about starting an account elsewhere specifically for credit card payments. We could possibly call it "Petty Cash" or "Working Capital". Brad said that he will look in to this possibility.

There were no further questions regarding the financial report and Rob Tidrow motioned acceptance, seconded by David Burton and the motion passed unanimously.

Director's Report

Jane reviewed the Director's Report from May and July 2016.

Mrs. Holman provided an update on membership and photo sales. She has not heard back from any leads in May. Kicks96 said that if they do not become a member this year, they will put us in their budget for next year.

The group was informed that we received a letter in July saying that we don't have a tax ID number (which we do have). We are still waiting for a response.

Technical Issues

Laser printer is still on the fritz.

Proposal

It was discussed as to whether or not we should allow government entities to join at a not-for-profit rate.

Fountain City was mentioned as not being a 501c3, but we have entered other entities at a non-profit rate.

Jane will follow up with Susan Dillman who is the new clerk from Centerville.

David Burton motioned to allow government entities to join at a non-profit rate. Rob Tidrow seconded the motion and it passed unanimously.

The next meeting is scheduled for September 15th, 2016, location to be determined.

Being no further business, Brad Glover made a motion that the meeting be adjourned at approximately 12:36 PM.
